These Terms govern your access to and use of InnoHire.ai — an AI-powered recruitment and talent intelligence platform operated by Innochase, Inc.

Section 1

Acceptance of Terms

By accessing or using InnoHire.ai (the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization.

⚠️If you do not agree to these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you (“Customer” or “User”) and Innochase, Inc., a company organized under the laws of the State of Illinois, USA (“Company,” “we,” “our,” or “us”).

Section 3

Accounts & Registration

To access the Platform, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use of your account
  • Be responsible for all activity occurring under your account
  • Not share your login credentials with unauthorized third parties

We reserve the right to suspend or terminate accounts that violate these Terms.

Section 4

License & Permitted Use

Subject to your compliance with these Terms, Innochase, Inc. grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business recruitment purposes.

Permitted uses include:

  • Uploading job descriptions to generate AI-powered analysis and scoring
  • Uploading candidate resumes for evaluation against job criteria
  • Generating interview questions for use in your recruitment workflow
  • Using AI-generated Boolean search strings on LinkedIn, ATS, or job boards
  • Analyzing interview transcripts for candidate evaluation support
  • Generating recruiter outreach scripts for candidate communication
  • Using the AI chat assistant for recruitment support queries

Section 5

Prohibited Uses

You agree not to use the Platform to:

  • ✕Violate any applicable law, regulation, or employment discrimination law (including Title VII, ADA, ADEA)
  • ✕Use AI outputs as the sole basis for any hiring or employment decision without human oversight
  • ✕Input or process data related to protected characteristics to influence hiring outcomes
  • ✕Reverse engineer, decompile, or attempt to extract source code from the Platform
  • ✕Resell, sublicense, or offer the Platform as a service to third parties without authorization
  • ✕Scrape, harvest, or systematically extract data from the Platform
  • ✕Submit false, misleading, or fraudulent data to the Platform
  • ✕Use the Platform to harass, discriminate against, or harm any individual or group
  • ✕Attempt to circumvent authentication, rate limits, or security controls
  • ✕Use automated bots, scripts, or scrapers against the Platform
  • ✕Upload malicious files, malware, or content designed to disrupt the service

Section 6

User Content & Data

You retain ownership of all job descriptions, resumes, and other content you upload to the Platform (“User Content”). By uploading User Content, you grant Innochase, Inc. a limited, worldwide license to process your content solely to provide the Services.

Your responsibilities regarding User Content:

  • You represent that you have the right and authority to upload any content you submit
  • You are responsible for obtaining required consents from candidates before uploading their resumes
  • You must provide candidates with required notices before using automated decision tools where applicable
  • You are responsible for ensuring the data you upload complies with applicable privacy laws (GDPR, CCPA, NY SHIELD Act)
  • You must not upload confidential third-party data without authorization
📌 Innochase, Inc. acts as a data processor for candidate and personal data uploaded by customers. Customers act as the data controller.

Section 7

AI Outputs & Limitations

The Platform uses artificial intelligence and machine learning models to generate outputs including match scores, skill analysis, interview questions, and search strings. You acknowledge and agree that:

  • AI outputs are advisory in nature and intended to assist human decision-makers — not replace them
  • All final hiring and employment decisions are the sole responsibility of the Customer
  • AI outputs may contain errors, inaccuracies, or unintended bias — independent human review is required
  • Match scores and rankings are recommendations only, not definitive assessments of candidate suitability
  • Interview questions are generated suggestions — customers should review and customize before use
  • You should not use the Platform as the sole basis for any employment decision
⚠️Customers who use automated tools in employment decisions may be subject to additional legal obligations (e.g., NYC Local Law 144, EU AI Act). Compliance is the Customer's responsibility.

Billing & Subscriptions

InnoHire.ai offers the following plans:

⭐ Pro Plan — $49/month

  • • Unlimited resume parses
  • • Advanced skill gap analysis
  • • AI interview question generator
  • • Project & certification analysis
  • • Priority support

Billing terms:

  • Subscriptions are billed monthly in advance via Stripe
  • Payments are non-refundable except as required by applicable law
  • You may cancel your subscription at any time; access continues until end of billing period
  • We reserve the right to change pricing with 30 days prior notice
  • Failed payments may result in service suspension
  • All prices are in USD and exclusive of applicable taxes

Section 9

Intellectual Property

The Platform, including all software, AI models, algorithms, interfaces, documentation, logos, and content created by Innochase, Inc., is the exclusive property of Innochase, Inc. and is protected by applicable intellectual property laws.

  • You are granted a limited use license — no ownership rights are transferred
  • You may not copy, modify, distribute, or create derivative works of the Platform
  • AI-generated outputs produced by the Platform do not constitute a transfer of IP rights to you
  • InnoHire.ai, Innochase, and associated logos are trademarks of Innochase, Inc.
  • Feedback you provide about the Platform may be used by us without obligation to you

Privacy & Data Protection

Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference.

  • We implement industry-standard security measures including TLS/HTTPS encryption and role-based access controls
  • We do not sell personal data to third parties
  • Candidate data uploaded by you is processed only to deliver the Services
  • You may request deletion of your account data by contacting innochase.usa@gmail.com
  • International data transfers are governed by Standard Contractual Clauses where applicable

Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.

To the fullest extent permitted by law, Innochase, Inc. expressly disclaims all warranties, express or implied, including:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • That the Platform will be uninterrupted, error-free, or free of viruses or bugs
  • That AI-generated outputs will be accurate, complete, or suitable for any particular use
  • That the Platform will meet your specific recruitment or compliance requirements

Section 12

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INNOCHASE, INC. BE LIABLE FOR ANY:

  • ✕Indirect, incidental, special, exemplary, or consequential damages
  • ✕Loss of profits, revenue, data, goodwill, or business opportunities
  • ✕Damages arising from reliance on AI-generated outputs or recommendations
  • ✕Damages resulting from hiring decisions made using the Platform
  • ✕Employment law violations resulting from customer use of the Platform
  • ✕Unauthorized access to or alteration of your data beyond our reasonable control

Our total aggregate liability to you for all claims arising from or related to these Terms shall not exceed the greater of (a) the amounts paid by you in the 12 months preceding the claim or (b) USD $100.

Section 13

Indemnification

You agree to indemnify, defend, and hold harmless Innochase, Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use of or inability to use the Platform
  • Your violation of these Terms
  • Your violation of any applicable law, including employment or privacy laws
  • Content or data you upload to the Platform
  • Any hiring decision made using the Platform
  • Your infringement of any third-party rights

Section 14

Termination

Either party may terminate these Terms at any time:

  • You may cancel your account at any time through your account settings or by contacting us
  • We may suspend or terminate your access immediately for violation of these Terms
  • We may terminate your account with 30 days' notice for any other reason
  • Upon termination, your license to use the Platform expires immediately
  • We will delete or return your data per our Privacy Policy and any applicable DPA
  • Sections on IP, Liability, Indemnity, and Governing Law survive termination

Section 15

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, USA, without regard to its conflict of law provisions.

  • Any disputes shall be resolved in the courts of Cook County, Illinois
  • You waive any objection to personal jurisdiction in Illinois courts
  • We will attempt to resolve disputes informally before initiating formal proceedings
  • If any provision is found unenforceable, the remaining provisions remain in full force
  • These Terms represent the entire agreement between you and Innochase, Inc.
  • We may update these Terms with notice — continued use constitutes acceptance
